1. Acceptance of terms
By registering on, accessing, or using the CollectKro platform available at collectkro.com ("the Platform"), you ("Business Owner", "User", "you") agree to be bound by these Terms and Conditions ("Terms"). These Terms form a legally binding agreement between you and CollectKro. If you do not agree, please do not use the Platform.
These Terms must be read alongside our Privacy Policy, which is incorporated by reference.
2. About CollectKro
CollectKro is a cloud-based Software as a Service (SaaS) platform that helps local businesses in India — including gyms, coaching centres, yoga studios, co-working spaces, and housing societies — automate recurring fee collection, manage members, and send payment reminders via WhatsApp.
CollectKro is not a payment aggregator, bank, or financial institution. All payment processing is handled by Razorpay, which is a licensed payment aggregator. CollectKro provides software tools that connect to your own Razorpay account.
3. Eligibility
- You must be at least 18 years of age to register and use CollectKro
- If you are registering on behalf of a business entity, you represent that you have authority to bind that entity to these Terms
- You must be located in India or using the Platform in compliance with applicable Indian laws
- You must not have been previously suspended or banned from using CollectKro
4. User types and access
4.1 Business owner
The primary user who registers and subscribes to CollectKro. The Business Owner has full access to the dashboard, member management, payment settings, reports, and billing. The Business Owner is responsible for all activity within their account, including actions performed by staff users they add.
4.2 Staff / sub-admin
Users added by the Business Owner with limited access. Staff may add or edit members, record manual payments, and send reminders, but cannot access billing, payment gateway credentials, or account settings. All staff activity is logged for audit purposes.
4.3 Members / end customers
Members are the customers of the Business Owner's establishment. They do not create CollectKro accounts. Members may receive WhatsApp messages and payment links delivered through CollectKro's managed WhatsApp infrastructure on behalf of the Business Owner. When clicking payment links, they interact directly with Razorpay's platform — not CollectKro. Their personal data is stored on CollectKro on behalf of the Business Owner.
5. Account registration and security
- You must provide accurate, current, and complete information at registration
- You are responsible for maintaining the confidentiality of your login credentials
- Two-factor authentication (OTP) is required and must not be disabled
- You must notify CollectKro immediately of any unauthorised access to your account at join@collectkro.com
- CollectKro is not liable for losses resulting from your failure to secure your account credentials
- You must not share your account with unauthorised persons
6. Subscription plans and billing
- Free: Free · Up to 25 members
- Starter: ₹499/month · Up to 100 members
- Growth ★ Most popular: ₹999/month · Up to 500 members
- Business: ₹1,999/month · Unlimited members
- Applicable GST shall be charged in addition to subscription fees wherever required by law.
- Subscriptions are billed on a monthly or annual basis, in advance
- Annual plans are offered at a discounted rate compared to monthly billing
- The Free plan is free with no credit card required; no automatic charges apply
- Payments for CollectKro subscriptions are processed securely via Razorpay
- Upgrades or downgrades take effect from the next billing cycle
- CollectKro reserves the right to change pricing with 30 days' prior notice to existing subscribers
7. Refund policy
- All subscription payments are non-refundable except as required by applicable Indian law
- If you believe a charge was made in error, contact us within 7 days of the charge at join@collectkro.com
- CollectKro may, at its sole discretion, offer pro-rata credits for plan downgrades or account closures in extenuating circumstances
- Refunds, if approved, will be processed within 7–10 working days
8. Razorpay integration and payments
- To use payment collection features, you must connect your own Razorpay merchant account via OAuth
- Completing Razorpay KYC (PAN, bank details, business proof) is mandatory for payment features and is governed by Razorpay's own Terms of Service
- CollectKro does not process, hold, or disburse payments — all funds flow directly between your customers and your Razorpay account
- CollectKro is not responsible for Razorpay downtime, failed transactions, or payment disputes between you and your members
- CollectKro does not charge any transaction fee on payments collected through your Razorpay account; Razorpay's standard processing fees apply
- UPI AutoPay mandates are set up via Razorpay and subject to RBI guidelines
- CollectKro only provides software tools to initiate AutoPay mandates through Razorpay. Mandate creation, execution, cancellation and processing are governed by Razorpay and applicable RBI regulations.
9. WhatsApp messaging
- CollectKro provides WhatsApp messaging as a managed service using its own WhatsApp Business infrastructure. Business Owners are not required to maintain a separate WhatsApp Business API account.
- CollectKro sends WhatsApp reminders, payment confirmations, expiry alerts, and other transactional messages using its own WhatsApp Business infrastructure. These messages are sent for and on behalf of the Business Owner based on the member data and communication preferences configured by the Business Owner.
- Business Owners are responsible for ensuring that they have obtained appropriate consent from their members to receive WhatsApp communications. CollectKro relies on the Business Owner's representations regarding such consent.
- CollectKro is not liable for WhatsApp message delivery failures, delays, or account suspensions caused by WhatsApp or its API providers.
- You must not use the WhatsApp messaging feature to send spam, unsolicited promotions, or any content prohibited by WhatsApp's policies.
10. Data and privacy obligations of the business owner
As a Business Owner, you act as the Data Fiduciary for your members' personal data stored on CollectKro. You agree to:
- Obtain valid, informed consent from your members before adding their personal data to CollectKro
- Ensure the accuracy of all member data you enter on the platform
- Not upload or process data for which you do not have lawful authority
- Comply with the Digital Personal Data Protection Act, 2023 (DPDPA), the IT Act 2000, and all other applicable Indian data protection laws
- Inform your members about how their data is used, including for WhatsApp messaging and invoice delivery
11. Invoice generation
- CollectKro automatically generates GST-compliant invoices for each payment recorded on the platform
- Invoices include the Business Owner's name, GSTIN (if provided), member details, plan, amount, tax breakdown, and payment date
- It is the Business Owner's responsibility to ensure their GSTIN and business details are accurate
- CollectKro is not a GST consultant — invoices are generated based on the information you provide; you are responsible for tax compliance
12. Prohibited uses
You agree not to use CollectKro for any of the following:
- Collecting payments for illegal, fraudulent, or prohibited goods or services
- Sending spam, unsolicited messages, or bulk promotional content without member consent
- Uploading member data without their knowledge or consent
- Attempting to reverse-engineer, decompile, hack, or disrupt the CollectKro platform
- Engaging in financial fraud, misrepresentation, or money laundering
- Creating multiple accounts to circumvent plan member limits
- Sharing API keys, OAuth tokens, or account credentials with unauthorised parties
- Violating any applicable Indian law including the IT Act, DPDPA, or RBI payment regulations
13. Platform availability and modifications
- CollectKro aims to maintain high platform availability but does not guarantee uninterrupted access
- While CollectKro aims to maintain high uptime, no specific uptime guarantee is provided unless agreed separately in writing.
- We may perform maintenance, updates, or modifications that temporarily affect availability — we will endeavour to provide advance notice
- CollectKro reserves the right to add, modify, or discontinue any feature at any time
- CollectKro does not guarantee that the platform will meet your specific business requirements
14. Intellectual property
All content, software, code, design, trademarks, and materials on the CollectKro platform are the intellectual property of CollectKro or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for its intended purpose during your active subscription. You may not reproduce, copy, distribute, or create derivative works without prior written consent.
15. Disclaimer of warranties
CollectKro is provided on an "as is" and "as available" basis. We do not warrant that:
- The platform will be uninterrupted, error-free, or secure at all times
- All payments sent through your Razorpay integration will succeed
- All WhatsApp messages will be delivered successfully
- The platform will produce any particular business or financial outcome for you
16. Limitation of liability
- CollectKro is a software tool and is not responsible for failed payments, Razorpay downtime, WhatsApp API failures, or incorrect data entered by the Business Owner
- CollectKro is not a payment aggregator or financial institution and bears no liability for financial transactions between Business Owners and their members
- To the fullest extent permitted by Indian law, CollectKro's maximum aggregate liability for any claim arising from these Terms shall not exceed the subscription fees paid by you in the preceding 3 months
- CollectKro is not liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or goodwill
- CollectKro shall not be liable for delays or failures caused by events beyond reasonable control including natural disasters, internet outages, government actions, cyberattacks, pandemics, or failures of third-party services.
17. Suspension and termination
- CollectKro may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or misuse the platform
- Certain payment-related features may become unavailable if Razorpay credentials are disconnected. The user may continue using other platform features subject to their subscription plan.
- You may terminate your account at any time by contacting join@collectkro.com
- If you cancel your CollectKro subscription or if your account is terminated, CollectKro reserves the right to remove all services provided to you, including disconnecting third-party services like Razorpay, cancelling your users' subscriptions, and cancelling any active autopay mandates set up through our platform
- Upon termination, your data will be retained for 90 days as described in our Privacy Policy, then permanently deleted
- Termination does not relieve you of any outstanding payment obligations
18. Governing law and jurisdiction
These Terms are governed by the laws of India. The following laws are specifically applicable:
- Information Technology Act, 2000
- Digital Personal Data Protection Act, 2023 (DPDPA)
- Consumer Protection Act, 2019
- Indian Contract Act, 1872
- RBI guidelines on payment aggregators and digital payments
Any dispute shall first be resolved through good-faith negotiation. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
19. Changes to these terms
We reserve the right to update these Terms at any time. We will notify registered Business Owners of material changes via email or an in-app notice at least 15 days before the changes take effect. Your continued use of the Platform after that date constitutes acceptance of the revised Terms.
